What is a quorum?A quorum is the minimum number of directors required to be present in order to hold a meeting and transact business.
The default quorum in the British Columbia Table 1 articles is a simple majority (i.e. 51%). You can customize this to suit your company and the number of directors it has.
If the company only has one director then that director represents the quorum.What is reasonable notice?This is open to interpretation and it depends on the established business practices within the company. It will also depend on the method of serving notice. For example if notice is given by mail then at least 14 days' notice is recommended.
The advantage of 'reasonable notice' is that it is flexible and informal. If you would prefer something more definite choose one of the other options.What is remote communication?Remote communication means participating in a meeting by means of phone or video conferencing. If permitted, directors connecting remotely are counted as attending the meeting. This option is typically allowed for directors.
